Lots of reasons for these issues including lack of understanding of how to structure the business, copying patterns that worked before, lack of communication, lack of aligned objectives, internal politics, etc. etc.
Alignment is tough. You need internal forcing functions (actions and future) and strong CEOs/Leaders who can bring disparate viewpoints into a common frame of understanding.
I've seen it done. It's not impossible, but it does take commitment and focus.
